1. Acceptance of Terms
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of a company, shop, school, or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Services.
2. Eligibility and Account Registration
- You must be at least 18 years old, or have authority from a parent, guardian, school, or employer where permitted by law, to create and use an account.
- Users under 18 must have parent, guardian, or institutional approval before purchasing premium services.
- You agree to provide accurate, current, and complete account information and keep it updated.
- You are responsible for maintaining the confidentiality of your credentials and for activities that occur under your account.
3. Organizational, School, and Managed Accounts
- Organizations, schools, training programs, and employers may create, provision, manage, or disable accounts for their staff, students, or contractors.
- Those entities are responsible for obtaining required permissions and consents where applicable.
- When an account is provided through an organization, the organization may control access, permissions, certain data visibility, and account lifecycle decisions.
4. Limited License and Permitted Use
Subject to these Terms, Jess Recruiting LLC grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business, educational, training, or personal professional development purposes, as applicable.
5. Prohibited Conduct
You agree not to:
- Use the Services for unlawful, fraudulent, infringing, or unauthorized purposes
- Reverse engineer, decompile, disassemble, or attempt to extract source code except where prohibited by law
- Upload malware, harmful code, or content intended to disrupt the Services
- Access another user's data without authorization
- Interfere with platform security, integrity, availability, or performance
- Circumvent usage limits, role restrictions, access controls, or payment requirements
- Use bots, scraping, or automated extraction tools except as expressly permitted by us in writing
- Use the Services to harass, defame, threaten, or harm others
6. Customer Data and User Content
You retain ownership of the data, records, files, images, job logs, and content you submit or upload to the Services ("Customer Data"), subject to the rights of your employer, organization, school, or customer where applicable. You grant Jess Recruiting LLC a non-exclusive, worldwide, limited license to host, process, transmit, store, reproduce, analyze, and display Customer Data as necessary to provide, secure, support, and improve the Services.
You are responsible for ensuring that you have all rights, permissions, and legal bases necessary to submit Customer Data to the Services.
7. ShopOS Workflow and Customer Responsibilities
- Shops using ShopOS are responsible for the accuracy of customer records, work orders, estimates, invoices, approvals, and payment requests they generate.
- Shops are responsible for any customer notices, consents, and disclosures required for messaging, payment, and data processing.
- Approval links, invoice links, and similar customer-facing workflows are convenience tools and do not shift legal compliance obligations from the shop to Jess Recruiting LLC.
8. Technician Data Sharing and Connected Organizations
- When a technician connects to a ShopOS organization, organization-assigned work and related records may be visible to that organization.
- Organization-originated work orders are treated as organization records and may remain visible to the organization even if the technician later disconnects.
- FlatRate Pro entries created outside organization workflows may remain subject to technician privacy settings, if supported by the feature configuration.
- Connection flows may offer sharing options for prior history, such as no history, a recent window, or full backfill.
9. AI Features Disclaimer
Certain features generate content or recommendations using artificial intelligence.
- AI-generated output may contain errors, omissions, bias, or outdated information.
- You must independently review and validate AI-generated output before using it in diagnostics, repairs, pricing, scheduling, customer communications, compliance, safety decisions, or other business decisions.
- The Services do not replace the judgment of qualified technicians, service advisors, managers, instructors, accountants, lawyers, or safety professionals.
10. Automotive, Educational, and Professional Disclaimer
The Services are business, training, and productivity tools. They do not constitute certified repair instructions, legal advice, accounting advice, regulatory advice, or safety certification. You are solely responsible for verifying repairs, estimates, OEM requirements, parts, labor assumptions, customer disclosures, educational records practices, and compliance with applicable laws and industry standards.
11. Subscriptions, Fees, and Payment
- Some features require a paid subscription or paid add-on, including organization plans and premium voice functionality.
- By subscribing, you agree to pay applicable fees, taxes, and charges associated with your selected plan.
- Unless otherwise stated in a separate agreement, subscription fees are non-refundable except as required by law or expressly approved by us.
- We may change pricing, features, or subscription plans upon reasonable notice.
- Failure to pay may result in suspension or termination of access.
12. Availability and Service Changes
- We may modify, update, suspend, or discontinue all or part of the Services at any time.
- We do not guarantee the Services will be uninterrupted, error-free, or available at all times.
- Beta, early access, or evolving features may change more frequently and may have additional limitations.
13. Intellectual Property
The Services, including software, designs, text, graphics, workflows, logos, trademarks, and related materials provided by Jess Recruiting LLC, are owned by or licensed to us and are protected by applicable intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.
14. Feedback
If you provide suggestions, ideas, enhancement requests, or other feedback relating to the Services, you grant Jess Recruiting LLC a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or obligation.
15. Confidentiality
You may receive access to non-public information relating to the Services. You agree not to disclose or use such information except as necessary to use the Services as permitted by these Terms.
16. Termination
We may suspend or terminate your access to the Services if, in our reasonable judgment:
- You violate these Terms or applicable law
- You create risk or legal exposure for us, our users, or our partners
- You fail to pay applicable fees
- You use the Services in a harmful, abusive, or unauthorized manner
You may stop using the Services at any time. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, and dispute-related provisions.
17. Disclaimers
The Services are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, Jess Recruiting LLC disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will meet your requirements, produce accurate results, preserve data in every circumstance, or operate without interruption or error.
18. Limitation of Liability
To the maximum extent permitted by law, Jess Recruiting LLC and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Services or these Terms will not exceed the amounts paid by you to us for the Services during the twelve months preceding the event giving rise to the claim, or one hundred U.S. dollars (US $100), whichever is greater.
19. Indemnification
You agree to defend, indemnify, and hold harmless Jess Recruiting LLC and its affiliates, officers, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your Customer Data, your violation of these Terms, or your violation of any law or the rights of a third party.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Unless a separate written agreement provides otherwise, disputes arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Arizona, and each party consents to that jurisdiction and venue.
21. Changes to These Terms
- We may revise these Terms from time to time.
- If we make material changes, we may provide notice by posting updated Terms through the Services, updating the effective date, or through other reasonable means.
- Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the revised Terms.
22. General Terms
- These Terms, together with the Privacy Policy and any applicable order forms or written agreements, constitute the entire agreement between you and us regarding the Services.
- If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
- Our failure to enforce a provision is not a waiver of that provision.
- You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
